A heatsink is a device that cools a CPU by heat dissapation. It will keep your CPU generally as cool as the temperature inside your case. This means that if you live in Alaska you are set, just kidding. If you are only overclocking a little bit and the chip on your video card doesn't have any cooling device on it then you are set. Attach the heatsink with some thermal bond paste and overclock away.
